AgentAI Nexus is an artificial intelligence platform that provides AI-powered content generation, social media management, image creation, chatbot services, and related tools ("Services"). Our Services utilize third-party AI models including but not limited to OpenAI, Anthropic, Google Gemini, and DeepSeek.

2. ACCOUNT REGISTRATION

2.1. You must create an account to access our Services. You agree to provide accurate, current, and complete information during registration.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. You must be at least 18 years of age to use our Services.
2.4. You agree to notify us immediately of any unauthorized use of your account.

3. SUBSCRIPTION PLANS AND PAYMENT

3.1. We offer various subscription plans (Free, Starter, Professional, and Enterprise) with different features and usage limits.
3.2. Paid subscriptions are billed on a recurring monthly or annual basis through Stripe, our third-party payment processor.
3.3. All fees are non-refundable unless otherwise required by applicable law or explicitly stated in our refund policy.
3.4. We reserve the right to modify pricing at any time. Changes will take effect at the start of your next billing cycle, and we will provide reasonable advance notice of any price changes.
3.5. Usage credits are allocated per billing cycle and do not roll over to subsequent periods unless explicitly stated.

4. ACCEPTABLE USE

You agree NOT to use our Services to:
4.1. Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
4.2. Generate content that infringes upon any intellectual property rights of third parties.
4.3. Create deepfakes, misleading media, or content intended to deceive others about its AI-generated nature where disclosure is required by law.
4.4. Engage in any activity that violates applicable local, state, national, or international laws or regulations.
4.5. Attempt to reverse-engineer, decompile, or disassemble any aspect of our platform.
4.6. Use automated systems (bots, scrapers) to access the Services beyond what is provided through our official API.
4.7. Resell, redistribute, or sublicense access to our Services without prior written consent.
4.8. Generate spam, phishing content, malware, or any content intended to harm individuals or systems.
4.9. Circumvent or attempt to circumvent usage limits, security measures, or access controls.

5. INTELLECTUAL PROPERTY

5.1. Content You Generate: Subject to compliance with these Terms and applicable third-party AI provider terms, you retain ownership of the content you create using our Services. You are solely responsible for ensuring your use of generated content complies with all applicable laws.
5.2. Platform Ownership: All rights, title, and interest in and to the AgentAI Nexus platform, including its design, code, features, and branding, remain exclusively ours.
5.3. Feedback: Any suggestions, feedback, or ideas you provide about our Services may be used by us without obligation or compensation to you.

6. AI-GENERATED CONTENT DISCLAIMER

6.1. Content generated by our AI tools is produced by third-party artificial intelligence models. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content.
6.2. You are solely responsible for reviewing, editing, and verifying all AI-generated content before use or publication.
6.3. AI-generated content may occasionally produce inaccurate, biased, or inappropriate results. We are not liable for any consequences arising from the use of such content.
6.4. You acknowledge that AI-generated content may not be protectable under copyright law in all jurisdictions and assume all risks related to intellectual property claims.

7. THIRD-PARTY SERVICES

7.1. Our Services integrate with third-party platforms (including but not limited to social media platforms, AI model providers, and payment processors). Your use of these integrations is subject to the respective third-party terms of service and privacy policies.
7.2. We are not responsible for the availability, accuracy, or practices of any third-party services.
7.3. Social media publishing features require you to authorize access to your third-party accounts. You may revoke this access at any time through the respective platform's settings.

8. LIMITATION OF LIABILITY

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTAI NEXUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
8.2. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.3. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AgentAI Nexus and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. TERMINATION

10.1. You may cancel your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.
10.2. We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
10.3. Upon termination, your right to use the Services ceases immediately. We may delete your account data after a reasonable retention period of 30 days.

11. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
